Terms & Conditions

Please read these Terms & Conditions carefully before using the Cogniful website or engaging our services. By accessing this site or entering into an engagement with us, you confirm that you have read, understood, and agree to be bound by these terms.
1. Definitions
In these Terms & Conditions:
- "Cogniful", "we", "us", or "our" refers to Cogniful, registered and operating in Singapore.
- "Service" refers to any consultancy, workshop, or technical delivery engagement offered by Cogniful.
- "Client" or "you" refers to the individual or organisation that engages our services or accesses our website.
- "Agreement" refers to these Terms & Conditions together with any scope document or engagement letter agreed between us.
- "Website" refers to the Cogniful website accessible at cognifinas.
- "Deliverable" refers to any tangible output produced as part of a Service, including documents, trained models, prototype briefs, or roadmaps.
2. Acceptance of Terms
By accessing the Website or engaging Cogniful for any Service, you confirm that you:
- Are at least 18 years of age and have the legal capacity to enter into a binding agreement
- Are acting on behalf of an organisation with the authority to bind that organisation to these terms, or are engaging as an individual in a professional capacity
- Have read and agree to these Terms & Conditions in full
3. Services Offered
Cogniful currently offers the following services to organisations in Singapore and, on a case-by-case basis, internationally:
- Conversational AI Workshop — a two-day facilitated workshop for product and engineering teams (SGD 650 excl. GST)
- Document Intelligence Pipeline — design, development, and integration of a document extraction and classification system (SGD 1,720 excl. GST)
- Strategic AI Roadmapping — a multi-stakeholder engagement producing a twelve-month AI adoption roadmap (SGD 2,600 excl. GST)
Service availability is subject to scheduling and capacity. Cogniful reserves the right to decline an engagement where we determine there is not a suitable fit.
4. Engagement Process & Scope
Each paid engagement is governed by a written scope document agreed between Cogniful and the Client prior to commencement of work. The scope document will specify:
- Deliverables and acceptance criteria
- Timeline and key milestones
- Client obligations and required inputs
- Pricing and payment schedule
In the event of a conflict between the scope document and these Terms, the scope document will take precedence on matters of service-specific scope, and these Terms will govern all other matters.
5. Payment Terms
Fees are quoted in Singapore Dollars (SGD) and are exclusive of Goods and Services Tax (GST), which will be applied in accordance with Singapore tax regulations.
Standard payment terms:
- A 50% deposit is required prior to commencement of work
- The remaining 50% is due upon completion or delivery, as specified in the scope document
- Invoices are payable within 14 days of issue
- Late payments may incur interest at 1.5% per month on the outstanding balance
Accepted payment methods include bank transfer to our Singapore bank account (details provided on invoice). Other arrangements can be discussed on request.
Cancellation and Refunds
Cancellations made more than 7 business days before the commencement of a workshop will receive a full refund of any deposit paid. Cancellations within 7 business days may be subject to a cancellation fee equivalent to the deposit amount. For multi-week engagements, fees for work already completed are non-refundable.
6. Client Responsibilities
The Client agrees to:
- Provide timely access to relevant information, data, and personnel required to complete the engagement
- Review and respond to draft deliverables within agreed timeframes
- Designate a primary contact for the engagement who has appropriate authority to make decisions
- Ensure that any data or materials provided to Cogniful are provided lawfully and do not infringe any third-party rights
Delays caused by the Client's failure to meet these responsibilities may affect delivery timelines. Cogniful will communicate any such impact promptly.
7. Intellectual Property
Upon full payment of all fees:
- Deliverables produced specifically for the Client as part of the engagement are assigned to the Client
- Cogniful retains ownership of all pre-existing intellectual property, methodologies, frameworks, tools, and know-how used in the delivery of services
- Cogniful is granted a non-exclusive, royalty-free licence to reference the engagement type and sector (without identifying the Client) for marketing and case study purposes, unless the Client requests otherwise in writing
8. Confidentiality
Both parties agree to keep confidential any non-public information shared in the course of an engagement. Cogniful will not disclose Client data or confidential business information to any third party except as required to deliver the service or as required by law. This obligation survives termination of the engagement.
9. Data Processing
Where Client data (including personal data) is shared with Cogniful as part of service delivery, such data will be handled in accordance with our Privacy Policy and applicable Singapore data protection law. Client data provided for the Document Intelligence Pipeline will not be used for any purpose other than delivering that specific engagement, and will be deleted within 30 days of engagement completion unless otherwise agreed.
10. Disclaimers
Services are provided on an "as available" basis. Cogniful does not warrant that any particular outcome will result from an engagement. The strategic recommendations, roadmaps, and prototype briefs we produce reflect our professional judgment at a point in time and based on the information available to us — they do not constitute a representation or warranty of future performance.
Cogniful is not a legal, financial, or regulatory adviser. Clients should seek independent advice on legal, compliance, and financial matters related to AI adoption.
11. Limitation of Liability
To the maximum extent permitted by Singapore law:
- Cogniful's total liability arising from any engagement is limited to the fees paid for that specific engagement
- Cogniful is not liable for any indirect, consequential, or punitive damages, including loss of profit, loss of data, or business interruption, however caused
- Nothing in these terms limits liability for fraud, death, or personal injury caused by negligence
12. Indemnification
The Client agrees to indemnify and hold harmless Cogniful from any claims, losses, or liabilities arising from: the Client's use of deliverables in a manner not contemplated by the engagement; data or materials provided by the Client that infringe third-party rights; or the Client's breach of these Terms.
13. Termination
Either party may terminate an engagement with written notice if the other party materially breaches these terms and fails to remedy the breach within 14 days of notice. Cogniful may also terminate if the Client fails to make payment when due. Upon termination, fees for work completed to the date of termination remain payable.
14. Dispute Resolution
In the event of a dispute, both parties agree to attempt to resolve the matter in good faith within 30 days of written notice of the dispute. If resolution is not achieved, disputes will be referred to mediation administered by the Singapore Mediation Centre before any formal legal proceedings are commenced.
These Terms are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction over any disputes arising from these Terms.
15. General Provisions
Entire Agreement: These Terms, together with any applicable scope document, constitute the entire agreement between the parties in relation to the subject matter.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it subsequently.
Assignment: The Client may not assign rights or obligations under these Terms without Cogniful's prior written consent.
16. Changes to These Terms
We may update these Terms & Conditions from time to time. Material changes will be communicated via our website. Continued use of the Website or engagement of our services after the effective date of changes constitutes acceptance of the revised terms.
